Terms and Conditions

Please read these terms carefully before using the Spid platform. By using our services, you agree to be bound by these terms.

Agreement to Terms

By accessing and using the Spid platform and services ("Services"), you accept and agree to be bound by the terms and provisions of this agreement ("Terms"). These Terms constitute a legally binding agreement between you and Spid. If you do not agree to abide by these Terms, please do not use our Services.

1. Acceptance of Terms

By accessing and using the Spid platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, partners, and/or contributors of content.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Spid is a comprehensive logistics and delivery platform that connects users with delivery services, partners, and riders. Our platform facilitates:

  • Coordination and management of shipments and deliveries
  • Real-time tracking and status updates
  • Secure payment processing for delivery services
  • Communication between customers, partners, and riders
  • Performance analytics and reporting
  • Customer support and dispute resolution

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. User Accounts

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

Account Security

Maintain the confidentiality of your account credentials (username, password, and any other security information). You are solely responsible for all activities that occur under your account.

Accurate Information

Provide accurate, current, and complete information during registration and keep your account information up to date. Failure to do so may result in suspension or termination of your account.

Unauthorized Access

Notify us immediately at security@spidapp.com of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

Account Eligibility

You must be at least 18 years old to create an account and use our Services. By creating an account, you represent that you meet this age requirement.

One Account Per User

You may only create one account. Multiple accounts created by the same person may be suspended or terminated.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You explicitly agree NOT to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any local, state, national, or international law or regulation
  • Transmit any harmful, offensive, threatening, abusive, harassing, defamatory, or inappropriate content
  • Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Attempt to gain unauthorized access to any part of the Services, user accounts, or computer systems
  • Use automated systems (bots, scrapers) to access the Services without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest personal information about other users
  • Engage in any activity that could damage our reputation or business
  • Reverse engineer, decompile, or disassemble any part of the Services

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

5. Delivery Services

Spid acts as an intermediary platform connecting users with independent delivery partners and riders. We facilitate connections but do not directly provide delivery services.

5.1 Platform Role

Spid provides the technology platform and infrastructure that enables users to connect with delivery service providers. The actual delivery services are performed by independent third-party partners and riders who are not employees or agents of Spid.

5.2 Shipment Responsibility

As a user, you are responsible for:

  • Providing accurate descriptions of items being shipped
  • Ensuring proper packaging and labeling of shipments
  • Compliance with all applicable shipping regulations and laws
  • Declaring the accurate value of shipped items
  • Obtaining necessary permits or licenses for special items
  • Providing accurate pickup and delivery addresses

5.3 Prohibited Items

The following items are strictly prohibited from being shipped through our platform:

  • Illegal drugs, narcotics, and controlled substances
  • Weapons, firearms, ammunition, and explosives
  • Hazardous materials and dangerous goods
  • Counterfeit goods and items that infringe intellectual property
  • Stolen property or items obtained through illegal means
  • Live animals (except where specifically permitted)
  • Human remains or body parts
  • Pornographic or obscene materials
  • Items that violate any applicable laws or regulations

Shipping prohibited items may result in immediate account termination and legal consequences.

5.4 Delivery Timeframes

Estimated delivery times are provided for informational purposes only and are not guaranteed. Actual delivery times may vary due to weather, traffic, customs clearance, or other factors beyond our control. Spid is not liable for delays in delivery.

5.5 Lost or Damaged Items

While we work with reliable partners, items may occasionally be lost or damaged during transit. Claims for lost or damaged items must be reported within 48 hours of the scheduled delivery time. Insurance options are available for high-value items.

6. Payment Terms

Payment for services is processed through our integrated third-party payment providers. By using our payment services, you agree to:

  • Pay all fees and charges for services used through your account
  • Provide valid and current payment information
  • The terms and conditions of our payment processors
  • Authorize charges for services used, including applicable taxes and fees

Payment Methods

We accept various payment methods including credit cards, debit cards, mobile money, bank transfers, and wallet balance. All payments are processed securely through certified payment gateways.

Pricing and Fees

All prices are displayed in the applicable local currency and include any mandatory taxes. We reserve the right to change our pricing at any time. Price changes will not affect orders already placed.

Refunds and Cancellations

Refund policies vary depending on the service type and stage of delivery. Cancellations made before pickup may be eligible for full refunds. Cancellations after pickup may incur fees. See our Refund Policy for details.

Failed Payments

If a payment fails or is declined, we may suspend or restrict your access to Services until payment is successfully processed. You remain liable for any amounts owed.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. We encourage you to review our Privacy Policy to understand how we handle your data.

8. Intellectual Property

The Spid platform, including but not limited to its content, features, functionality, design, logos, trademarks, and software, is owned by Spid and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes. This license does not include:

  • Any right to resell or commercial use of the Services
  • Collection and use of product listings or descriptions
  • Any derivative use of the Services or their contents
  • Downloading or copying of account information for the benefit of another merchant
  • Use of data mining, robots, or similar data gathering tools

Any unauthorized use terminates the permission or license granted by Spid.

9. User-Generated Content

Users may submit content such as reviews, ratings, comments, and feedback ("User Content"). By submitting User Content, you grant Spid a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content.

You represent and warrant that:

  • You own or have necessary rights to the User Content
  • The User Content does not violate any third-party rights
  • The User Content is accurate and not misleading
  • The User Content complies with our Acceptable Use Policy

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate.

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free.

10.2 Limitation of Liability

To the maximum extent permitted by law, Spid and its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of use of the Services
  • Cost of substitute services
  • Damage to reputation or goodwill

In no event shall our total liability exceed the amount paid by you for the Services in the 12 months preceding the claim.

10.3 Third-Party Services

We are not responsible for the actions, content, or services of third-party delivery partners, riders, payment processors, or other third parties. Your interactions with third parties are solely between you and such third parties.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spid and its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Services or violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • User Content you submit or transmit through the Services
  • Your negligence or willful misconduct

This indemnification obligation will survive termination of these Terms and your use of the Services.

12. Termination

We reserve the right to terminate or suspend your account and access to the Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or our policies
  • Fraudulent or illegal activity
  • Conduct harmful to other users, partners, or our business
  • Extended periods of inactivity
  • Request by law enforcement or government agencies
  • Technical or security concerns

You may terminate your account at any time by contacting us at support@spidapp.com or through the account settings.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with Spid, you agree to first contact us at disputes@spidapp.com and attempt to resolve the dispute informally. We will work with you in good faith to reach a mutually acceptable resolution.

13.2 Arbitration

If informal resolution is unsuccessful, any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria.

13.3 Class Action Waiver

You agree to resolve disputes with Spid on an individual basis only. You waive any right to bring claims as a class action, collective action, or representative action.

14. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated through:

  • Email notification to your registered email address
  • Prominent notice on our platform or mobile app
  • In-app notification for mobile users

Your continued use of the Services after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Services.

It is your responsibility to review these Terms periodically. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in Lagos, Nigeria, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Spid concerning the Services.

Waiver

No waiver by Spid of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Spid may assign these Terms without restriction.
